1. Introduction
- These Terms and Conditions govern all services provided by Quemay Ltd. (“Company”) to its clients (“Client”).
- By engaging our services, the Client agrees to abide by these terms.
2. Scope of Services
- The Company provides IT software development, consulting, maintenance, and related services as agreed in project proposals or contracts.
- Any additional work outside the agreed scope will require a new agreement or change order.
3. Payment Terms
- Payments must be made as per the agreed milestones or invoices.
- Delayed payments may result in suspension of services.
- All third-party costs (hosting, licenses, APIs, etc.) are borne by the Client.
4. Intellectual Property Rights
- The Company retains ownership of all pre-existing tools, frameworks, and code libraries.
- Upon full payment, the Client owns the rights to the custom software developed specifically for them, unless otherwise agreed.
- The Client may not resell or redistribute the software without written consent.
5. Confidentiality
- Both parties agree to maintain confidentiality of proprietary information, trade secrets, and project details.
- Confidentiality obligations remain in effect even after project completion.
6. Warranties & Limitations
- The Company warrants that services will be delivered with reasonable skill and care.
- No guarantee is made that software will be error-free or uninterrupted.
- The Company is not liable for damages arising from misuse, third-party integrations, or client-side modifications.
7. Refunds & Cancellations
- Refunds are governed by the Company’s Refund Policy (see separate document).
- Cancellations must be requested in writing. Work already completed is non-refundable.
8. Maintenance & Support
- Post-deployment support is provided as per the agreed maintenance contract.
- Any enhancements or new features are treated as separate projects.
9. Termination
- Either party may terminate the agreement with written notice if the other party breaches these terms.
- Upon termination, the Client must pay for all work completed up to the termination date.
10. Force Majeure
- The Company is not responsible for delays or failures caused by events beyond its control (natural disasters, government actions, etc.).
11. Governing Law
- These Terms and Conditions are governed by the laws of USA and India.
- Any disputes will be subject to the exclusive jurisdiction of the courts in USA and India City.
